Terms of Service

1. Acceptance of Terms

By accessing or using any MEP Suite application or service available at mepsuite.app and its subdomains (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. We reserve the right to update these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Eligibility

You must be at least 18 years of age to use the Service. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration and Security

You may register for an account using Google OAuth, Microsoft OAuth, or email and password. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

  • Provide accurate and complete registration information
  • Keep your login credentials secure and confidential
  • Notify us immediately at mepsuite@outlook.com if you suspect unauthorized access to your account
  • Accept responsibility for all activities conducted through your account

4. Not a Substitute for Professional Engineering Judgment

Important: MEP Suite provides calculation tools, analysis utilities, and productivity software designed to assist mechanical, electrical, and plumbing engineers. The Service is not a substitute for professional engineering judgment, review, or certification. All outputs, calculations, and recommendations generated by the Service should be independently verified by a licensed professional engineer before being relied upon for design, construction, or safety-critical decisions. MEP Suite assumes no responsibility for engineering decisions made based on the Service's outputs.

5. Subscription and Billing

MEP Suite offers paid subscription plans with the following terms:

  • Billing cycles: Subscriptions are available on a monthly or yearly basis. Yearly plans are billed upfront at a discounted rate (pay for 10 months, get 12).
  • Auto-renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
  • Payment processing: All payments are processed securely through Stripe. We do not store your credit card information.
  • Price changes: We may adjust pricing with at least 30 days' notice before your next billing cycle. Existing subscribers will be notified via email.

6. Free Trials

We offer free trials for new users to evaluate our applications:

  • MEP Calc Engine: 30-day free trial with full access
  • Submittal Tracker, Punch List, Proposal Builder: 14-day free trial with full access
  • AI Spec Reviewer: 1 free spec analysis

No credit card is required to start a free trial. At the end of your trial period, you must subscribe to a paid plan to continue using the Service. We reserve the right to modify or discontinue free trials at any time.

7. Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting us at mepsuite@outlook.com. Upon cancellation:

  • Your access continues until the end of your current billing period
  • You will not be charged for subsequent billing periods
  • No partial refunds are provided for unused time within a billing period
  • Your data will remain accessible for 30 days after your subscription ends, after which it may be deleted

8. Firm and Team Accounts

For firm or team accounts, the account administrator is responsible for:

  • Managing team member access and seat assignments
  • Ensuring all team members comply with these Terms
  • Payment for all seats on the account
  • Removing team members when they leave the organization

The administrator's organization is liable for all activity conducted by team members under the firm account.

9. Intellectual Property

Our property: The MEP Suite software, website, branding, logos, documentation, and all related intellectual property are owned by MEP Suite. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your active subscription.

Your data: You retain full ownership of all data, documents, calculations, and content you create or upload to the Service. We claim no ownership rights over your content. You grant us a limited license to host, store, and process your data solely to provide the Service to you.

10. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to reverse-engineer, decompile, or extract the source code of the Service
  • Resell, sublicense, or redistribute access to the Service
  • Interfere with or disrupt the Service's infrastructure
  • Upload malicious content, viruses, or harmful code
  • Share your account credentials with unauthorized users
  • Scrape, crawl, or use automated tools to extract data from the Service

11. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of scheduled maintenance.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. MEP SUITE DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT CALCULATIONS OR OUTPUTS WILL BE ACCURATE OR COMPLETE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MEP SUITE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO MEP SUITE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless MEP Suite from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

15. Termination

We reserve the right to suspend or terminate your account at any time if you violate these Terms or engage in conduct that we determine, in our sole discretion, to be harmful to the Service, other users, or MEP Suite. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive, including intellectual property, limitation of liability, and indemnification.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising under or in connection with these Terms shall be resolved through binding arbitration or in the courts of competent jurisdiction within the United States.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
